Air Agent Terms of Service

These Terms of Service (“Agreement”) govern the use of the Air Agent booking platform and services (“Air Agent”) provided by Chesapeake Holding Company, LLC d/b/a WorldTravelService (“Air Agent,” “we,” “our,” or “us”). By accessing or using Air Agent, the participating travel agency (“Agents, or Affiliates” “you,” or “your”) agrees to be bound by these Terms.

1. Purpose

Air Agent provides Travel Agencies, their Agents and Affiliates with access to airfare booking resources, including online booking tools, Global Distribution Systems (GDS), airline consolidators, negotiated fares, commission opportunities, ticketing support, and related services.

Participation in Air Agent is intended solely for legitimate travel agency business.

2. Independent Business Relationship

The Travel Agencies, their Agents and Affiliates are an independent business and is not an employee, partner, joint venture, legal representative, or agent of Air Agent or Chesapeake Holding Company, LLC.

Nothing contained in this Agreement creates an employment relationship, franchise, partnership, or fiduciary relationship between the parties.

3. Client Relationship

The Travel Agencies, their Agents and Affiliates maintains the direct relationship with its clients and is solely responsible for:

  • Marketing and selling travel services
  • Advising clients regarding travel products
  • Verifying traveler names and documentation
  • Explaining airline fare rules and restrictions
  • Obtaining all required authorizations
  • Providing customer service before, during, and after travel
  • Maintaining required seller-of-travel registrations and licenses, where applicable

Air Agent serves solely as a booking platform and support provider.

4. Client Payments

The Travel Agencies, their Agents and Affiliates are solely responsible for collecting, safeguarding, and remitting all payments received from its clients.

Air Agent is not responsible for:

  • Collecting traveler payment information from the client.
  • Pursuing unpaid balances
  • Credit card disputes between the Travel Agencies, their Agents and Affiliates  and its clients. 
  • Chargebacks resulting from the Travel Agencies, their Agents and Affiliates  client transactions
  • Refund disputes arising from payments collected by the Travel Agencies, their Agents and Affiliates

The Travel Agencies, their Agents and Affiliates  agrees to remain fully liable for all airfare, ticketing costs, service fees, debit memos, penalties, supplier charges, taxes, and any other amounts associated with bookings made through Air Agent, regardless of whether payment has been collected from the client.

Failure of a client to pay the Airline and ARC does not relieve the Affiliate Agency of its financial obligations to Air Agent.

5. Accuracy of Bookings

The Travel Agencies, their Agents and Affiliates  is responsible for ensuring that all bookings are accurate prior to ticketing, including but not limited to:

  • Passenger names exactly matching government-issued identification
  • Dates of birth
  • Passport information
  • Frequent flyer information
  • Travel dates
  • Destination requirements
  • Fare selection
  • Ancillary services

Air Agent is not liable for costs resulting from booking errors submitted by the Travel Agencies, their Agents and Affiliates.

6. Airline Rules

All bookings remain subject to:

  • Airline fare rules
  • Airline schedules
  • Airline contract of carriage
  • Government regulations
  • Airport security requirements
  • Immigration and customs requirements
  • Supplier policies

The Travel Agencies, their Agents and Affiliates  agrees to communicate applicable restrictions and requirements to its clients.

7. Pricing

Airfares are not guaranteed until ticketed.

Prices may change without notice due to:

  • Airline inventory
  • Fare availability
  • Taxes
  • Fuel surcharges
  • Currency fluctuations
  • Airline pricing updates

Air Agent is not responsible for fare increases occurring prior to ticket issuance.

8. Ticketing

Tickets will only be issued after all required information has been received, and applicable payment obligations have been satisfied.

Certain bookings may require immediate ticketing to preserve the quoted fare.

9. Schedule Changes

Airlines may change:

  • Flight numbers
  • Departure times
  • Arrival times
  • Equipment
  • Connections
  • Airports

Air Agent will make reasonable efforts to communicate known schedule changes but is not responsible for airline operational decisions.

10. Debit Memos and Supplier Charges

The Travel Agencies, their Agents and Affiliates  agrees to reimburse Air Agent for any debit memos, airline assessments, Agency Debit Memos (ADMs), chargebacks, booking violations, or supplier penalties arising from:

  • Booking errors
  • Fare rule violations
  • Unauthorized changes
  • Fraudulent transactions
  • Improper ticketing
  • Failure to follow supplier policies

11. Compliance

The A Travel Agencies, their Agents and Affiliates agrees to comply with:

  • IATA regulations
  • ARC regulations
  • Airline policies
  • Applicable federal, state, and local laws
  • PCI-DSS requirements for handling payment information
  • Data privacy laws applicable to its business

12. Confidentiality

The Travel Agencies, their Agents and Affiliates agrees not to disclose confidential information, including but not limited to:

  • Contracted airfare
  • Negotiated commissions
  • Supplier agreements
  • Proprietary booking procedures
  • Internal documentation
  • Login credentials

13. Limitation of Liability

To the fullest extent permitted by law, Air Agent shall not be liable for:

  • Airline cancellations
  • Schedule disruptions
  • Mechanical delays
  • Weather events
  • Government restrictions
  • Supplier insolvency
  • Lost profits
  • Indirect or consequential damages
  • Client dissatisfaction arising from supplier performance
  • Force Majeure

Air Agent’s total liability shall not exceed the amount of commissions or fees received by Air Agent for the specific booking giving rise to the claim.

14. Indemnification

The Travel Agencies, their Agents and Affiliates  agrees to defend, indemnify, and hold harmless Chesapeake Holding Company, LLC d/b/a WorldTravelService, Air Agent, its officers, employees, contractors, and affiliates from any claims, liabilities, losses, damages, costs, or attorney’s fees arising out of:

  • The Affiliate Agency’s actions or omissions
  • Client disputes
  • Payment disputes
  • Fraudulent activity
  • Violations of this Agreement
  • Violations of airline or supplier policies

15. Suspension or Termination

Air Agent may suspend or terminate access immediately for:

  • Non-payment
  • Fraud
  • Misrepresentation
  • Repeated booking errors
  • Abuse of negotiated fares
  • Violation of supplier agreements
  • Breach of these Terms

Outstanding financial obligations survive termination.

16. Changes to Terms

Air Agent reserves the right to modify these Terms of Service at any time. Continued use of Air Agent following notice of updated terms constitutes acceptance of the revised Agreement.

17. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Virginia, without regard to its conflict of law principles.

18. Entire Agreement

This Agreement constitutes the entire understanding between the parties regarding the use of Air Agent and supersedes all prior discussions, representations, or agreements relating to the subject matter herein.


Acceptance

By submitting registration, the Travel Agencies, their Agents and Affiliates  acknowledges that it has read, understood, and agrees to abide by these Terms of Service.
